Comapny Insolvency, Liquidation and Beneficial Ownership under the Companies Act, 2019 (Act 9232)

Ghana's insolvency reform agenda has gained momentum in response to rising corporate vulnerabilities and non-performing loans (NPLs), particularly among micro, small, and medium enterprises (MSMEs). enactment of the Corporate Insolvency and Restructuring Act (CIRA), 2020 (Act 1015), marked a pivotal shift toward a modernized legal framework for business recovery and creditor protection. The International Finance Corporation (IFC) has partnered with Ghana's Office of the Registrar of Companies (ORC) to operationalize the new regime. The ORC has played a leadership role in developing secondary legislation, setting up the specialized Insolvency Services Division (ISD) established under CIRA and rolling out targeted training for stakeholders. The ISD through the ORC plays a central role in institutionalizing Ghana's insolvency framework. As the statutory regulator under CIRA, it is responsible for licensing and supervising insolvency practitioners, maintaining the insolvency registry, and overseeing case management and monitoring functions through the ISD. The objectives of this workshop continue strengthening implementation of the CIRA through targeted discussions and development of the Ghanaian judiciary. Structure This 2-day workshop will be composed of themes covering the main elements of insolvency law and practice including - conceptual framework and objectives of an insolvency system, Principles of corporate liquidation and restructuring and the role of the court in insolvency proceedings. The workshop will be delivered by leading international experts through a combination of presentations, discussions, group exercises, and case studies. The workshop will be conducted in person, in Ghana and is by invitation only. Objectives The objective of this workshop is to provide Ghanaian judges with the opportunity to: Gain intermediate information on insolvency processes, including in relation to formal business restructuring and liquidation; Understand the domestic legislative and regulatory framework for insolvency processes; Be updated on elements of international best practices and emerging trends; and Network and strengthen professional ties and gain a deeper understanding of Ghana's domestic insolvency regime.
